1. what happens if Snatch Steal is Already Active and later I activate imperial order does it negate snatch and the monster comes back and no points are gained

2. What happens if my opponet Snatches or change of hearts my face up guardian sphinx and he flips it face down?

1) The monster returns to the original controller, and no LP are gained.
2) They keep the monster, because they destroyed Snatch Steal via game mechanics, and it cannot determine what monster it should return, so it doesn't. However, if they use Change of Heart on it, it returns to you during the End Phase.

Even if they flip my guradian sphinx face down i still get it back

Change of Heart places a condition on a monster that it will return to the owner/controller at the End Phase of the turn, regardless of position, unless it is a face-down monster that is flipped face-up and happens to be a monster such as Blindly Loyal Goblin, Mataza the Zapper, or Horus the Black Flame Dragon LV4.

This is true for Change of Heart, as masterwoo0 has correctly covered that part.

In this case of Snatch Steal however, this is not applied if the target of Snatch Steal were to go face-down.

This is due to Snatch Steal's "equip insignia". If the original target of Snatch Steal were to go face-down, the target is now irrelevent and cannot be determined, since Snatch Steal can only equip to face-up monsters and can only target face-up monsters.

So Guardian Sphinx would remain on your opponent's side of the field.
